1: Object
The general terms and conditions of sale described below detail the rights and obligations of WILDEE and its customer in the context of the sale of goods supplied by WILDEE, and apply to each order.
Only the following conditions apply and supersede all other conditions, including those of the client.
They are addressed to the client, and remain accessible at any time upon simple request from the client to the company WILDEE.
They are deemed to have been accepted without reservation by the client.
WILDEE may at any time modify or supplement these terms and conditions, and if so, will inform the customer by any means.
2: Price
The prices of the goods sold are those in effect on the day the order is placed. They are quoted in € and include all taxes.
WILDEE reserves the right to modify its prices at any time. However, it undertakes to invoice goods ordered at the prices indicated when the order was registered.
3: Payment methods
Orders are paid for as follows:
- on the ordering tool of the website www.vandenabeeleparis.com
The customer must pay a deposit of 30% of the total order amount to WILDEE by the payment method of their choice, which is collected upon delivery of the goods.
The balance of the invoice must be paid by the customer within 30 days of the invoice date.
In the event of a bounced/rejected check, the following fees will be automatically imposed and invoiced cumulatively, where applicable, to the client:
– €5.50 upon first presentation of the check
– €5.50 on the second presentation of the check; – €17.50 when the check is definitively rejected.
In addition, a fee of €40 will be automatically charged to the customer by WILDEE under the following circumstances:
– From the second unpaid/rejected check in the same year for the same customer;
– In case of a false declaration concerning a check (loss/theft or other).
No discount is given by WILDEE for early payment.
4: Late payment
In the event of total or partial non-payment for goods within the time limits stipulated in these conditions, WILDEE reserves the right not to deliver the goods ordered until the balance of the invoice is paid.
In any event, in the event of total or partial non-payment for goods within the stipulated time limits, the customer must pay WILDEE a late payment penalty equal to 3 times the legal interest rate, as well as a fixed compensation of €40 for recovery costs.
The applicable legal interest rate is that in force on the day of delivery, as fixed when the goods were ordered.
This penalty is calculated on the total amount including tax of the sum remaining due, and runs from the date of payment due, without any prior formal notice being required.
5: Termination Clause
If, within fifteen days of the implementation of the “Late Payment” clause, the customer has not paid the remaining sums due, the sale will be automatically terminated, and may give rise to the award of damages to WILDEE.
6: Retention of Title Clause
WILDEE retains ownership of the goods sold until full payment of the price, including principal and any additional charges. Therefore, if the customer is subject to receivership or liquidation proceedings, WILDEE reserves the right to claim, within the framework of the insolvency proceedings, the goods sold but not yet paid for, as well as their price if they have already been resold, in accordance with Article L. 621-122 of the French Commercial Code.
Delivery
The delivery has been made:
- to the address provided by the customer when placing the order,
- Alternatively, at the customer’s request, by direct delivery of the goods to the customer.
The delivery time indicated when the order is registered is only an indication, but WILDEE will make its best efforts to meet the scheduled delivery times.
In any event, any delays cannot give rise to damages, refusal of goods or cancellation of pending orders.
However, if one month after the originally scheduled delivery date, delivery has not been possible for any reason other than force majeure or unforeseen circumstances, either party may request cancellation of the order without compensation or damages.
The risk of transport is borne entirely by the company WILDEE.
In the event of missing or damaged goods during transport, the customer must note all necessary reservations on the delivery slip upon receipt of said goods. These reservations must be confirmed in writing to WILDEE within eight days of delivery to be taken into consideration.
7: Force majeure
WILDEE shall not be held liable for any failure to perform or delay in performing any of its obligations under these terms and conditions of sale if such failure or delay is due to force majeure. For the purposes of this clause, force majeure shall mean any external, unforeseeable, and irresistible event as defined in Article 1148 of the French Civil Code.
8: Applicable Law – Dispute Resolution
Any dispute relating to the interpretation and execution of these general terms and conditions of sale shall be subject exclusively to French law.
Any dispute must be resolved amicably in the first instance. Failing that, the Commercial Court of Paris shall have sole jurisdiction.
